OMTS Founding 50 Partner Program — Terms & Conditions

1. The Program

The OMTS Founding 50 Partner Program offers eligible businesses free promotional exposure across the OMTS website, podcast, app, newsletter, and social media, in exchange for the business providing an offer of value to the OMTS community. Participation is free — there is no fee to join.

2. LICENSE TO USE BUSINESS MATERIALS AND LIKENESS

By applying to and/or participating in the Founding 50 Partner Program, the business grants OMTS a non-exclusive, royalty-free, worldwide license to use, reproduce, display, and distribute the business's name, logo, photos, story, testimonials, and any other materials submitted or provided by the business (collectively, "Business Materials") on the OMTS website, app, podcast, social media channels, newsletter, and other OMTS platforms, for the purpose of promoting the business and the Founding 50 Partner Program. The business retains ownership of its Business Materials; this license does not transfer ownership. The business represents that it owns or has the necessary rights to grant this license for all Business Materials it submits. OMTS is under no obligation to use or continue using any Business Materials, and may remove them from any OMTS platform at any time, at our sole discretion.

3. Our Right to Remove a Partner

OMTS may remove any business from the Founding 50 Partner Program at any time, for any reason or no reason, with or without notice, and at our sole discretion. This may include removing a business's listing, offer, logo, or any related content from our website, app, or other channels. Removal does not require wrongdoing on the business's part — OMTS reserves full discretion over who participates in the program.

4. Independent Businesses

Each partner business is an independent business, not an employee, agent, partner, joint venturer, or representative of OMTS. Nothing in this program creates a partnership, employment, or agency relationship between OMTS and any business.

5. Business Responsibility

Each business is solely responsible for its own products, services, offers, advertising claims, conduct, and interactions with customers, including anyone referred through OMTS. OMTS does not review, endorse, verify, or guarantee any business's products, services, claims, licensing, or offers, and is not responsible for any dispute, transaction, or outcome between a business and its customers.

6. Release and Indemnification

Each business agrees to release, indemnify, and hold harmless OMTS, its owners, hosts, and affiliates from any and all claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to: (a) the business's products, services, or offers; (b) the business's conduct or interactions with any customer or member of the OMTS community; or (c) any breach of law or third-party rights by the business. OMTS is not liable for any actions taken by a partner business.

7. No Guarantee of Results

OMTS makes no guarantee regarding the amount of exposure, traffic, leads, or business outcomes a partner will receive through participation in the program.

8. Governing Law

These Terms & Conditions are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.

9. Changes to These Terms

OMTS may update or change these Terms & Conditions at any time. Continued participation in the program after changes are posted constitutes acceptance of the updated terms.

10. Acceptance

By applying to and/or participating in the Founding 50 Partner Program, the business agrees to these Terms & Conditions.
